TVS Motor Company's board has approved a composite scheme to demerge its consumer finance and related business undertaking into a separate holding company. Under the proposed structure, TVS Motor shareholders would receive the same number of shares in the resulting company as they hold in TVS Motor, according to a company release dated 28 October 2026.

The proposal is designed to separate mobility operations from a financial-services platform and give each business greater strategic and capital-allocation flexibility. It remains subject to statutory, regulatory, shareholder and other applicable approvals.

A dedicated finance platform is planned

The resulting company would hold the group's consumer finance and related interests. TVS Motor said the dedicated structure should allow those businesses to pursue sector opportunities and allocate capital according to their own growth priorities.

The move follows an August 2026 proposal by group non-bank finance companies to consolidate consumer finance activities into a single operating platform. The demerger is the next corporate step in that process; it is not yet effective.

Shareholders would retain exposure to both businesses

The proposed one-for-one share entitlement means existing TVS Motor shareholders would participate in both the continuing mobility company and the resulting finance holding company. The release does not set a record date, implementation timetable or listing date. It also does not provide the proposed capital structure, opening balance sheet or governance arrangements for the resulting company. Those details will determine how investors compare the two businesses after separation and how credit exposures are allocated.

The scheme also envisages merging TVS Motor Services, a wholly owned subsidiary, into TVS Motor. The company said this element is intended to streamline the group structure and improve operational alignment.

Finance operations span 45 million customers

TVS Motor said TVS Credit and Home Credit India together serve more than 45 million customers through 100,000 touchpoints. The group has also announced the acquisition of education lender Varthana and holds an investment in Jana Small Finance Bank.

Separately, the board approved acquiring a controlling interest in STPL Trading and Services, which is in the process of merging with TVS Credit Services. On completion, TVS Motor expects its effective holding in TVS Credit to increase by approximately 2.4 percentage points.

Key numbers

  • Proposed share entitlement: one resulting-company share for each TVS Motor share
  • Customers served by TVS Credit and Home Credit India: more than 45 million
  • Network: approximately 100,000 touchpoints
  • Expected additional effective stake in TVS Credit: about 2.4 percentage points
  • TVS Motor manufacturing facilities: four in India and Indonesia

What boards and CFOs should note

  • What assets, liabilities and capital commitments will transfer to the resulting company?
  • How will debt, guarantees and shared services be allocated between mobility and financial services?
  • Which regulatory and shareholder approvals determine the timetable and eventual listing structure?
