The circular of 24 October follows an ICSI request over MCA21 version 3 glitches. AGM deadlines are not extended.

The Ministry of Corporate Affairs has extended the deadlines for filing FY26 annual financial statements and annual returns, according to Business Standard's report on 24 October 2026 of a circular of the same date. Spectate Media has not seen the circular, and the report gives no circular number or original due dates.

New dates

Form AOC-4, in all its variants, including consolidated and XBRL filings and the form for NBFCs, can now be filed until 31 December 2026 without additional fees. Forms MGT-7 and MGT-7A, the annual returns, the second for one-person and small companies, are extended to 31 January 2027. The headline says extra fees are waived for FY26 filings, but the article body confirms the fee-free period only for AOC-4. The relaxation does not extend the statutory deadlines for holding annual general meetings.

Why the extension

The ministry cited representations from stakeholders and technical difficulties on the MCA21 version 3 portal. The Institute of Company Secretaries of India asked on 9 October for an extension to 31 December without additional fees, citing recurring glitches and added compliance requirements under revised forms. The reported problems include downtime, slow response, session timeouts, login and access difficulties, errors in pre-filled data, problems linking digital signature certificates, form validation failures despite correct entries, and difficulty viewing, downloading and tracking filed forms. ICSI president Pawan G Chandak said the aim was to ensure that "genuine compliance efforts are not adversely impacted by transitional or technological challenges."

Precedent

For FY25 the ministry granted two filing extensions, by circulars dated 17 October 2025 and 30 December 2025.

Key numbers

  • AOC-4 deadline: 31 December 2026 (No additional fees)
  • MGT-7 and MGT-7A: 31 January 2027 (Fee terms not confirmed in the body)
  • ICSI request: 9 October (Asked for 31 December)
  • FY25 extensions: 2 (17 October and 30 December 2025)

What boards and CFOs should note

Three points stand out. First, the fee-free window is confirmed only for AOC-4, so companies should check the circular for the annual return. Second, the extension covers filings, not AGMs. Third, a second extension is possible on the FY25 precedent, but nothing in the report suggests one.
